Terms of Service
Viewing this public document does not itself create an authenticated acceptance record. Contract acceptance and Privacy acknowledgment are recorded separately against the version made available to the organization.
1. Parties, acceptance and contract documents
These Terms govern the EvidenceGuard hosted service, related customer workspace and expressly ordered services (the “Service”) provided by SourceWarden LLC, a Pennsylvania limited liability company (“SourceWarden,” “we,” “us” or “our”). “Customer” or “you” means the business or other organization identified in the account acceptance record or accepted order, or the individual conducting business in their own name who accepts these Terms. An “Authorized User” is an individual whom Customer authorizes to use its organization workspace within that individual’s permissions.
This version becomes a contract with Customer when, after SourceWarden makes it available for acceptance, Customer affirmatively accepts it through the Service or both parties accept an order incorporating it. An individual accepting for an organization represents that they have authority to bind that organization. Merely viewing a public page, receiving this document or trying a public example does not accept the paid or authenticated-service contract. Existing customers are not silently treated as having accepted a new version.
The agreement includes these Terms, the Billing, Credits and Refund Policy, the Acceptable Use Policy, the AI and Automated Review Addendum, any applicable Data Processing Addendum (“DPA”), and any written or electronic order accepted by both parties (“Order”). The Privacy Policy and Telemetry and Browser Storage Notice describe our data practices; acknowledging them is not blanket consent to optional processing. The Beta, Support and Security Notice describes the standard service scope. An Order must identify the parties and purchased or pilot scope and may be accepted electronically; an unaccepted quotation, roadmap or demonstration is not an Order.
Mandatory law and any binding international-transfer instrument prevail. The DPA controls conflicts about personal-data processing. An Order controls an expressly identified commercial variation, but does not silently waive the DPA or authorize advertising, research or external AI. The Billing Policy controls specific credit and refund questions; otherwise these Terms control. A purchase order’s additional boilerplate does not modify the agreement unless we expressly accept it in writing.
2. Eligibility and business use
The Service is offered for business and organizational use by Authorized Users who are at least 18 years old and have the legal capacity and authority required for their use. It is not offered under these Terms for personal, household, classroom or child-directed use. Customer must provide accurate legal, account and contact details and keep its account contacts current.
The standard hosted offering is a United States-based business service. A customer requiring a different hosting location, international-transfer safeguard, regulated-data environment or specialized public-sector contract must agree that arrangement with us before the affected processing begins. Public access to our website does not establish that we offer a locally adapted service in every country. Mandatory rights that apply to an individual or processing operation remain effective regardless of this business-use limitation.
Customer must not use the Service where doing so would violate applicable sanctions, export restrictions or other law, and must not misrepresent its location or authority to evade those restrictions. We do not undertake government procurement obligations merely because a customer reviews a government solicitation.
3. Service scope and beta availability
EvidenceGuard assists teams in organizing and inspecting procurement, RFP, proposal and bid documents, source passages, document versions, requirements, observations and human review decisions. Only functions actually enabled for Customer and, where applicable, included in an Order are provided. A product name, menu, screenshot, entitlement label or marketing example does not make an unavailable function available.
The baseline covered by this version is a PDF-only beta. Native extraction, optical character recognition, source access and other processing remain subject to file eligibility, capacity, permissions and operational availability. Other formats, external-model review and a staffed Human Verification service are not included merely because their names appear in the interface. Customer-document external AI is disabled in this baseline. We may keep intake or a feature closed pending verification; these Terms do not reopen it.
We identify material limits in the Service or Order. Customer must not split, disguise or repeatedly submit material to circumvent those limits. We do not promise support for every PDF, every language, handwriting, every table or image, or any particular file size that is not expressly offered.
Beta features may contain defects or be interrupted. We may change or retire them, but beta status does not remove our express payment, confidentiality, security, privacy or refund obligations. We will not materially reduce an already paid, unperformed scope without offering the remedy in the Billing Policy. No uptime percentage, deadline guarantee, recovery objective or round-the-clock support is included unless expressly agreed in an Order.
4. Review limitations and Customer’s final responsibility
The Service supplies review assistance, not legal, accounting, procurement-officer or other regulated professional advice. It does not certify compliance, bid responsiveness, source authenticity, document completeness, admissibility of evidence or eligibility for a contract. It does not guarantee that a bid will be accepted, win, or avoid a challenge. We do not submit a bid or make a binding commitment on Customer’s behalf unless a separate written agreement expressly says so.
A machine finding is not a human decision. Missing evidence is not a PASS. Unknown is not empty; an error is not an empty result; loading is not zero. A successful transfer, clean scan, completed parse or completed run does not prove that every relevant passage was read or every requirement identified. A confidence or certainty label is not a measured probability of correctness or commercial success.
“Located” or similar language describes the presence of material, not that a form is completed, signed, current or sufficient. A blank attachment may be present but still require review. A source link or hash identifies a location or content relationship; it does not prove that an interpretation is correct. A current record is not necessarily an approved or accurate record.
Customer must independently verify the authoritative solicitation, amendments and sequence, deadlines and time zones, signatures, attachments, pricing and final submission requirements. Customer must inspect important source passages and coverage warnings, resolve contradictions and retain original documents. A historical finding or review decision applies to its recorded version and does not automatically carry forward to a new document or amendment.
Customer must maintain an independent submission process and must not use EvidenceGuard as its sole archive, sole deadline reminder or sole basis for a material legal or commercial decision. These responsibilities do not excuse our own breach of an express obligation, fraud or other responsibility that law does not permit us to exclude.
5. Accounts, organizations and authority
Customer controls its Authorized Users and is responsible for permissions it grants, accurate organization information and promptly removing access that is no longer authorized. Each user must protect their sign-in account and must not share credentials or impersonate another person. Customer must promptly report suspected compromise and reasonably cooperate in containment.
Organization roles permit only the actions the Service authorizes. They do not confer access to another organization or to SourceWarden’s internal operator tools. An administrator’s setting does not replace an individual’s legally required privacy choice or authorize material that Customer has no right to provide. A recorded reviewer approval is not evidence of authority to sign a bid or other contract.
We may verify identity and organizational authority before changing access, releasing data or completing a deletion request. A person must not prevent the remaining authorized owner from controlling an organization through an unauthorized account change. Leaving an organization, deactivating a user, deleting a source and closing an organization are separate operations.
6. Customer Content and permitted inputs
“Customer Content” includes documents and other material Customer or its users submit, review notes and decisions, and content-bearing derivatives produced for Customer, including extracted text, page representations and source-bearing reports. Ordinary service telemetry does not become Customer Content solely because it records that a request occurred; document text does not become telemetry merely because it is placed in a log.
Customer retains its rights in Customer Content. Customer must have the rights, notices, permissions and lawful basis needed to submit it, have it processed by the authorized providers, and share it with its Authorized Users. Public availability does not necessarily remove intellectual-property, privacy, confidentiality or contractual restrictions. A consultant must obtain the client’s authority for the processing it requests.
Do not submit classified information, controlled unclassified information, export-controlled technical data, protected health information requiring a HIPAA arrangement, regulated student records, payment-card authentication data, bank-login credentials, Social Security numbers or government-ID copies, passwords, private keys, biometric identification data, or similarly sensitive or specially regulated material under the standard beta. An exception requires our prior written agreement to the specific category and safeguards; selecting a classification or accepting these Terms does not create that exception. Ordinary business contact information in authorized procurement documents is within the standard scope.
If prohibited data is inadvertently submitted, notify us without repeating it in ordinary email. We may isolate it and coordinate scoped removal, preserving only what law requires. Public examples and ordinary support inquiries are not approved channels for confidential uploads.
7. Limited processing rights; outputs and platform rights
Customer grants us a nonexclusive, limited right to receive, host, copy, scan, extract, render, analyze, transmit to authorized recipients, and otherwise process Customer Content only to deliver the agreed Service, follow Customer’s documented instructions, protect the Service, provide appropriately scoped support, return or delete data, and comply with applicable law. Confidentiality, the DPA, retention rules and any agreed location restrictions apply to that permission.
That permission does not authorize us to sell Customer Content, publish it, place it in advertising, train or fine-tune a general-purpose model on it, or add it to an independent research dataset. We do not receive a right to use Customer’s name or logo as a public reference without separate permission. Purchase of a credit is not consent to a new processing purpose.
As between the parties, Customer may use the outputs delivered for it for its lawful business purposes, subject to third-party rights. To the extent we acquire transferable intellectual-property rights specifically in those customer-specific outputs, we assign those rights to Customer, excluding our pre-existing software, models, templates, methods and documentation. We grant the limited license in any such embedded materials reasonably needed to use an authorized output. We do not guarantee that output is unique, copyrightable or free of third-party rights.
We and our licensors retain rights in the Service and pre-existing materials. Customer receives a nonexclusive right to access the Service for its agreed business use during the agreement, not ownership of its software. Voluntary, nonconfidential product suggestions may be used by us without compensation. That feedback permission excludes Customer Content, personal information, confidential business information and support attachments unless separately authorized.
8. Confidentiality
Each party will protect the other’s nonpublic information disclosed in connection with the agreement using reasonable care appropriate to its sensitivity and no less than the care used for its own comparable information. Customer Content and nonpublic security or commercial information are confidential whether or not individually marked.
The receiving party may use confidential information only for the agreement and may disclose it only to people or providers who need it for that purpose and are bound by suitable confidentiality duties. Support or human-review access must be limited to the authorized task. We remain responsible for the confidentiality obligations of people and subcontractors we authorize, subject to the agreement and applicable law.
These duties do not cover information the recipient can demonstrate was already lawfully known without restriction, became public without a breach, was lawfully obtained from an unrestricted third party, or was independently developed without using the protected information. Legally required disclosure is allowed only to the necessary extent; where lawful, the recipient will give prompt notice and reasonable assistance with protective measures.
Confidentiality duties last throughout the agreement and five years after it ends. Trade secrets remain protected while they qualify as trade secrets, and Customer Content and personal data remain protected for as long as retained. Expiry of a confidentiality term is not permission to retain or reuse personal data.
9. Privacy, security and separate processing choices
The Privacy Policy explains processing for which we determine purposes, including account administration and service security. The DPA applies when we process personal data in Customer Content on Customer’s behalf. Actual roles depend on the activity, not on a label in a document.
We will maintain reasonable technical and organizational safeguards appropriate to the permitted data and processing. We do not promise absolute security, end-to-end encryption that prevents our processing, an independent certification, or universal zero retention. The DPA describes specific minimum safeguards and incident obligations.
Terms acceptance, Privacy Policy acknowledgment, optional product-statistics choices, external-AI authorization, marketing and research permission are separate. A customer-content research or model-training program is not offered by this version. We will not use a general service-improvement clause to obtain that permission.
10. External AI and human review
The AI and Automated Review Addendum applies to automated observations and any later expressly enabled external processing. This agreement alone does not authorize external AI to receive Customer Content. A permitted external processing step requires the disclosed provider, purpose, content and source-version scope, applicable data handling, and the required authorization and technical eligibility checks.
A Customer user’s human review is distinct from a separately contracted SourceWarden Human Verification service. The latter exists only under an Order describing scope, personnel access, deliverable and timing. Neither is a legal opinion or compliance certificate unless a separate appropriately authorized professional engagement expressly provides otherwise; no such engagement is included here.
11. Retention, return and deletion
Raw-upload retention follows Customer’s actual organization setting, any lawful hold and the agreed scope. The baseline supports 7, 30, 90 days or an indefinite setting; new organizations default to 30 days, while some migrated organizations retain an indefinite setting until changed. “Indefinite” means no automatic age-based raw-upload expiry under that setting, not a right for us to keep all personal data forever or use it for another purpose.
A source-delete action, full content-deletion request, account deactivation and organization closure have different effects. Source deletion revokes source access and starts asynchronous object purge; it is not a certificate that all account, audit, derivative and backup records have been erased. Content-bearing derivatives remain Customer Content and subject to the source-related retention instruction unless a separate lawful retention exception is expressly authorized. The DPA and Privacy Policy govern complete deletion and retained records.
Customer should retrieve its documents and available outputs before they expire or before ending use. Customer may request an assisted return of data still lawfully held within 30 days after termination. This request period does not revive previously deleted data or automatically extend a shorter retention setting. We will provide existing export or download formats, or a reasonably usable electronic copy when assistance is required; it does not include custom migration software or restoring data already properly erased. Any extraordinary optional migration work requires an agreed price, and mandatory privacy assistance cannot be withheld over an unagreed fee.
After a verified complete-deletion instruction, or the end of the return period if no continuing processing instruction exists, we will delete applicable data from active systems without undue delay. A technical or legal impediment must be explained, scoped and resolved promptly; mandatory deadlines still apply. Restricted disaster-recovery copies are kept outside ordinary use and are handled separately under the backup and recovery process described in the Privacy Policy and DPA. A restore must reapply deletion and access restrictions before restored data is returned to ordinary use. We will not represent backup copies as erased until the applicable backup cleanup or expiration step has actually completed.
We may retain limited transaction, agreement, security and audit records for a necessary legal or accountability purpose under the Privacy Policy. A hold must be justified, limited and reviewed, and must not be used to preserve document text indefinitely simply because a report is historical.
12. Fees and credits
Only a clearly accepted Order or checkout creates a charge. It must state the actual price, currency, scope, unit of use and applicable taxes before purchase. Historical test amounts, sandbox receipts and marketing examples are not prices or proof of payment. We do not impose a subscription, automatic renewal or automatic top-up under this version.
The Billing, Credits and Refund Policy governs purchased review credits, promotional grants, failed-run restoration and cash refunds. A ledger credit restoration is different from a payment refund. Credits do not override feature availability, security, access, document eligibility or external-AI authorization.
Customer must pay agreed undisputed charges and taxes lawfully imposed on the transaction, excluding taxes on our income. We will not change the price or devalue the agreed unit of an already purchased unused credit retroactively. Any future recurring arrangement requires a separately presented and accepted offer with its own cancellation terms.
13. Acceptable use and suspension
Customer and its users must follow the Acceptable Use Policy. We may reject a file or limit an operation that is unsafe, unauthorized, unsupported or outside the agreed scope. A rejection does not necessarily mean a document is unlawful.
We may suspend the minimum access reasonably necessary for a material breach, credible security threat, legally required restriction or overdue undisputed payment after reasonable notice. Where practicable and lawful, we will state the reason and provide an opportunity to resolve it. Urgent protection may precede notice. We will review a suspension and restore affected access when its grounds are resolved. We will not treat a suspension as a completed deletion or make unrelated content publicly available.
14. Term, changes to service and termination
The agreement continues until terminated. Customer may stop using an uncommitted free service or request account or organization closure at any time. For a paid Order, the agreed term and outstanding work apply, subject to the Billing Policy and mandatory rights.
Either party may terminate for a material breach that is not cured within 30 days after written notice describing it. A breach incapable of cure, illegal activity, urgent security threat or binding legal requirement may justify immediate termination of the affected service. We may discontinue an uncommitted service on 30 days’ notice; discontinuation of already paid undelivered service requires the refund or agreed alternative described in the Billing Policy.
Termination ends access rights, not surviving confidentiality, privacy, deletion, accrued payment or dispute obligations. We will refund unused paid credits and prepaid undelivered work when we terminate for convenience or cannot provide the agreed service. Termination for Customer’s breach is not permission for an arbitrary forfeiture unrelated to delivered work, lawful setoff or documented loss.
15. Express commitments and warranty disclaimers
Each party represents that it has authority to enter the agreement and will comply with law applicable to its own performance. We will exercise reasonable skill and care in providing expressly agreed services and maintain the confidentiality and data-protection commitments in this agreement.
EXCEPT FOR THOSE EXPRESS COMMITMENTS AND RIGHTS THAT CANNOT LAWFULLY BE EXCLUDED, THE SERVICE, PARTICULARLY BETA FEATURES, IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE EXTENT PERMITTED BY LAW, WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NONINFRINGEMENT. We do not warrant complete extraction, perfect source grounding, detection of every requirement, uninterrupted availability, a particular procurement outcome, or the absence of every malicious file or third-party defect.
These disclaimers do not negate an express delivery, confidentiality, security, refund or indemnity obligation and do not excuse fraud, willful misconduct or liability that law does not permit to be disclaimed. Mandatory statutory rights prevail.
16. Liability allocation
Subject to the exceptions below and to the maximum extent permitted by law, neither party is liable to the other for indirect, special, incidental, exemplary or consequential damages, or lost profits, lost bids, lost business opportunities or loss of goodwill, arising from the agreement, whether the claim is in contract, tort, including ordinary negligence, or otherwise, even if advised of their possibility.
Each party’s total aggregate liability arising from this agreement is limited to the greater of (a) the fees paid or payable by Customer for the Service during the 12 months before the first event giving rise to the claim and (b) USD 1,000 (the “General Cap”). Related events are treated as one event for this calculation.
For a party’s breach of confidentiality or data-protection obligations, or its indemnity obligations in Section 17, the aggregate cap is instead the greater of (a) twice those 12-month fees and (b) USD 5,000 (the “Special Cap”). The caps are alternative aggregate limits, not cumulative recoveries for the same event. Reasonable, documented direct costs of data restoration, incident investigation and legally required notification caused by a breach of those duties are not excluded merely because they arise after an incident; the Special Cap applies where legally permitted.
No exclusion or cap applies to fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or liability that applicable law does not permit to be limited. Customer’s obligation to pay properly due fees, our duty to return amounts expressly refundable under the Billing Policy, and either party’s right to seek appropriate injunctive relief are not reduced by these caps. These provisions do not limit an individual’s nonwaivable privacy rights, regulatory powers or rights under controlling transfer clauses.
This allocation is part of the commercial bargain, not a representation that insurance exists or that it is enforceable in every circumstance. A different signed Order may expressly replace it for that Order.
17. Third-party claims
We will defend Customer against a third-party claim that the Service software we provide, used as authorized, infringes a United States patent, copyright or trademark, or misappropriates a trade secret, and pay damages finally awarded and settlements we approve, subject to Section 16. This obligation excludes claims caused by Customer Content, Customer’s unauthorized modification, combination with material not supplied or required by us where the claim would not otherwise arise, or continued infringing use after we offer a materially equivalent noninfringing solution.
We may obtain continued use rights, modify or replace the affected service without materially reducing its agreed function, or end the affected service and refund unused paid credits and prepaid undelivered work. This is the contractual remedy for an infringement claim against the platform, without removing nonwaivable rights or unrelated obligations.
Customer will defend us against a third-party claim that Customer lacked rights to provide Customer Content or instructed an unlawful processing operation, and pay damages finally awarded and settlements Customer approves, subject to Section 16. Customer is not responsible to the extent the claim results from our unauthorized use, modification or other breach. Disagreement with an automated finding is not, by itself, an indemnifiable claim against Customer.
The protected party must give prompt notice, reasonable cooperation at the defending party’s expense, and appropriate control of the defense. Late notice reduces obligations only to the extent it materially prejudices the defense. A settlement must not admit fault, impose a nonmonetary obligation or leave the protected party liable without that party’s written consent, not unreasonably withheld. No party is entitled to double recovery.
18. Pennsylvania law and disputes
Pennsylvania law governs the agreement, without its conflicts-of-law rules, together with applicable United States federal law. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
The parties will first try in good faith to resolve an ordinary contractual dispute through their designated contacts for 30 days after written notice. This does not delay an urgent application for protective relief, a statutory deadline, a required regulatory report or an individual’s exercise of nonwaivable rights.
Subject to mandatory jurisdiction rules, the parties consent to the state courts located in Philadelphia County, Pennsylvania, and, where federal jurisdiction exists, the United States District Court for the Eastern District of Pennsylvania. These Terms do not require arbitration and do not waive class proceedings or trial by jury. No provision prevents a report to a regulator or an action in a forum that mandatory law preserves.
19. Amendments and notices
We will identify each published version and its actual publication date. For a material change affecting an existing customer, we will ordinarily give at least 30 days’ advance notice by account email or a conspicuous in-service notice. A shorter period may apply where law or an urgent security need requires it; we will explain the reason where lawful. We will obtain fresh affirmative acceptance where needed to bind Customer to changed contractual obligations. Mere silence or viewing a notice is not treated as consent to a new processing purpose.
Changes do not retroactively alter an accepted charge, a dispute that arose before the change, or permissions for previously collected Customer Content. New external AI, research or marketing purposes require their separate legal and authorization conditions.
Send legal, privacy, security, support or billing notices to kun11451454188@gmail.com, identifying the subject and organization without including credentials or unnecessary confidential documents. Postal notices may be sent to SourceWarden LLC, 7155 Kindred Street, Philadelphia, PA 19149-1132, United States. We send notices to Customer’s designated account or Order contact. Email notice is received when delivered without a failure notice, subject to proof of actual nonreceipt and applicable law. Formal service of court process remains governed by law, not this email rule. An emergency security concern should be clearly marked; no 24/7 response promise is created.
20. General terms
Neither party may assign the agreement without the other’s reasonable consent, except with notice to an affiliate or successor in a merger, reorganization or sale of substantially all relevant assets that assumes the agreement and provides no materially weaker data protection. Assignment does not authorize a new use of Customer Content or evade mandatory restrictions.
The parties are independent contractors. Neither may bind the other or claim an agency, employment, fiduciary or partnership relationship merely from this agreement. There are no third-party beneficiaries except persons entitled by mandatory law or an applicable transfer instrument.
A failure to enforce a term once is not a continuing waiver. If a provision is unenforceable, it is limited or severed only to the extent legally necessary and the remainder continues. No interpretation may expand a data-processing permission beyond its express scope.
Neither party is liable for delay caused by events reasonably outside its control that it could not reasonably prevent or overcome, provided it takes reasonable mitigation steps and gives notice. This does not eliminate security, confidentiality, lawful notification, accrued payment or refund duties that remain capable of performance. If an event prevents paid delivery for more than 30 days, Customer may end the affected undelivered service and receive the applicable refund.
These documents and accepted Orders are the entire agreement on their subject matter and supersede prior proposals for that scope. A separate nondisclosure agreement continues where it provides compatible greater protection. Electronic records and counterparts may establish the agreement. Headings aid navigation and do not limit operative language. The English text controls a translation to the extent law allows; a summary does not replace the agreement.
